GUIDED'S TERMS OF SERVICE

These terms of service (the “Terms”) govern your use of our website, https://www.go-guided.com/, and our IOS or Android app (in these Terms together referenced as “the App”). By using our App, you agree to be bound by these Terms. If you do not agree to any part of these Terms, do not use the App.
We are Guided Limited, a company registered in England and Wales with a company number 15150942 (“Guided”, “we”, “us” or “our”).

Privacy Policy​
Your access to and use of the App, is also subject to our Privacy Policy, available at https://www.go-guided.com/privacy-policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we process, safeguard and disclose your data when you use the App.

Third-Party Websites​​
Hypertext links in the App may lead to websites that are not under, operated and/or controlled by us. Guided accepts no responsibility or liability in respect of the material on any website which is not operated and/or controlled by Guided.

Account Security​​
You will be responsible for all activity that happens under your access credentials and on your account, and you agree to use reasonable efforts to prevent unauthorised access to or use of your Guided account, and to protect the confidentiality of your log-in information and of any device that you use to access the App. You agree to let us know immediately if there is a breach or leak of your log-in information. You will be solely responsible for any losses incurred by us and others due to any unauthorised use of your account.

Prohibited Use​
You may use the App only for lawful purposes and in accordance with these Terms. You agree not to:
(a) Use the App in any way that violates any applicable national or international law or regulation, or infringes upon the rights of others, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
(b) Use the App for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
(c) Use the App in any manner that could disable, overburden, damage, or impair the App or interfere with any other party’s use of the App or with the proper working of the App;
(d) Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
(e) Attempt to decipher, decompile, disassemble or reverse engineer any of the software comprising or making up the App; gain unauthorized access to, interfere with, damage, or disrupt any parts of the App, or any server, computer, or database connected to the App.
(f) Take any action that imposes an unreasonable load on the App's infrastructure or attack the App via a denial-of-service attack or a distributed denial-of-service attack.

Age Restriction​
If you are under 13 years old, you may not use or access the App by yourself in any manner. If you are between 13 and 18 years old, you represent and agree that you have the legal consent of your parent or guardian to access and use the App. If you are a parent or guardian of a minor who has registered for or used the App without your consent, please contact us at hello@go-guided.com.
Intellectual Property​
The App contains material, including but not limited to software, text, graphics, logos and images (collectively referred to as the “Guided Content”). We may own the Guided Content, or portions thereof may be made available to us through agreements with third parties.
Unauthorised use of the Guided Content may result in violation of copyright, trademark, and other laws. You have no rights in or to the Guided Content, and you will not use, copy or display the Guided Content except as permitted under these Terms. You may not sell, transfer, assign, license, sublicense, or modify the Guided Content or reproduce, display, publicly perform, make a derivative version of, distribute, or otherwise use the Guided Content in any way for any public or commercial purpose. The use or posting of any of the Guided Content on any other website outside of the App is expressly prohibited.
The trademarks, service marks, and logos of Guided used and displayed in the App are registered and unregistered trademarks or service marks of Guided (“Guided Intellectual Property”). Nothing in the App or in these Terms should be construed as granting any license or right to use any Guided Intellectual Property displayed in the App without the prior written consent of Guided specific for each such use.

User Content​
Guided does not claim ownership of any text, images, photos, video or any other materials posted by you or any other users on the App (collectively “User Content”). For your User Content posted on the App, you grant Guided a non-exclusive, royalty-free, worldwide and irrevocable license to use, modify, delete from, add to, publicly perform, publicly display, reproduce such User Content (including to other users of the App), including without limitation for promoting and redistributing part or all of the Guided App (and derivative works thereof) in any media formats and through any media channels (including, without limitation, third party websites and feeds) and with any other users of the App. Guided can continue to use User Content that you posted on the App in these ways if you cease to use the Guided App. You further agree that Guided has the right to delete or otherwise edit any User Content that you post on the App at its sole discretion.

Disclaimer​
Guided make no warranties or representations about the content of the App, including but not limited to its accuracy, reliability or completeness. Guided shall not be subject to liability for the accuracy, reliability or completeness of any User Content or Guided Content (collectively “Content”) or any other information conveyed to the user, or for errors, mistakes or omissions therein or for any delays or interruptions of the data or information stream from whatever cause. You agree that you use the App and the Content at your own risk.

Guided does not warrant that the App will operate error free or that the App, its server, or the content are free of computer viruses or bugs or similar contamination or destructive features.

The App and the Content are provided on an “as is” and “as available” basis without any warranties of any kind. Guided disclaims all warranties, whether express or implied, and including, but not limited to, merchantability, non-infringement of third-party rights, and fitness for particular purpose.

Limitation of Liability​
To the maximum extent permitted by applicable law, in no event shall Guided be liable for any damages whatsoever (including, without limitation, incidental and consequential damages, lost profits, or damages resulting from lost data or business interruption) resulting from the use or inability to use the App, the information contained in the App, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Guided has been advised of the possibility of such damages.
Guided’s liability under these terms shall not be excluded (i) for personal injury or death resulting from our negligence; (ii) for fraud or fraudulent misrepresentation; or (iii) to the extent our liability cannot be limited or excluded under the Consumer Rights Act 2015 or any other applicable law.

Indemnification​
You agree to defend, indemnify, and hold Guided harmless from and against any claims, actions or demands, including, without limitation, reasonable legal and accounting fees, arising or resulting from your breach of these Terms or your access to, use or misuse of the Guided Content, the User Content and/or the App in breach of these Terms. Guided shall provide notice to you of any such claim, suit, or proceeding. Guided reserves the right to assume the exclusive defence and control of any matter which is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting Guided in defence of such matter.

Termination​
Guided reserves the right, in its sole discretion, to restrict, suspend or terminate these Terms and your access to all or any part of the App and its content at any time and for any reason without prior notice or liability. Guided reserves the right to change, suspend, or discontinue all or any part of the App at any time without prior notice or liability.
The following sections of the Terms will survive the termination or expiration of these Terms: Account Security, Intellectual Property, Disclaimer, Limitation of Liability, Indemnity, and Governing Law and Jurisdiction.

Governing Law and Jurisdiction​
These Terms shall be governed by English law. Any dispute arising from, or related to, these Terms shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.

Miscellaneous​
These Terms constitute the entire agreement between you and Guided and supersede all previous or contemporaneous agreements, whether written or oral, between the parties with respect to the subject matter. These Terms will inure to the benefit of our successors, assigns, licensees, and sublicensees.
If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
No failure or delay by either party in exercising any right under this Agreement shall constitute a waiver of that right.

Changes to our Terms​
We may revise these Terms from time to time. Any changes and additions to these Terms will be posted in the App and are effective from the date on which they are posted.
